Terms of Service

The deal: fair use, no warranties.

These terms govern your use of Filoraio. Read them once; the obligations are short and reasonable for a free, browser-based tool.

The short version

  • Use Filoraio for any lawful purpose — personal or commercial.
  • Don't use it to break the law or attack the service.
  • We provide the tools as-is. No guarantees about output for any specific purpose.
  • You own your files. We don't claim any rights over them.
  • Our liability is capped at the amount you paid us (zero, for the free tier).
  • If you don't agree to these terms, don't use the site.

1. Acceptance of terms

By accessing or using Filoraio(the “Service”) you agree to be bound by these Terms of Service (the “Terms”). If you don’t agree, don’t use the Service. Your continued use after any update constitutes acceptance of the revised Terms.

2. Description of service

Filoraioprovides free, browser-based PDF tools (merge, split, compress, convert, sign, watermark, OCR, edit, and others). Most operations run entirely in your browser; where a tool requires a server round-trip, that’s disclosed on the tool’s own page.

The Service is offered free of charge. There is no subscription, payment, or premium tier at this time. If that ever changes, paid features will be clearly labelled and optional.

3. Eligibility

You must be at least 13 years old to use the Service. By using it you represent that you meet that minimum age and have the legal capacity to enter into these Terms in your jurisdiction.

Where you’re using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation in your jurisdiction or any other party’s
  • Infringe any intellectual-property right, privacy right, publicity right, or other legal right of a third party
  • Upload or process material that’s defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable
  • Distribute malware, attempt to gain unauthorised access to the Service or its infrastructure, or interfere with any user’s use of the Service
  • Scrape, mirror, or reproduce the Service in a manner that competes with us without prior written permission
  • Use the Service to remove or attempt to remove copyright, trademark, or attribution notices that you don’t have authority to remove
  • Automate use at a scale that materially burdens our infrastructure (rate-limit your scripts; if you have a legitimate high-volume need, talk to us)

Violation of this section may result in termination of access and, where appropriate, referral to law enforcement.

5. Your content

You retain all rights, title, and interest in the files and content you process through the Service. We claim no ownership over your inputs or outputs.

For tools that run in your browser (the default for all currently-shipped tools), we never receive a copy of your files. For any tool that requires server-side processing (currently none; future tools will be labelled explicitly), you grant us a temporary, limited licence to process the file for the sole purpose of returning the result. Once the response is sent, the file is erased.

You’re responsible for ensuring you have the right to process any file you upload — particularly for files that contain third-party IP, personal data of others, or confidential information.

6. Intellectual property

The Service, including all original content (excluding files and content provided by users), features, and functionality, is and will remain the exclusive property of Filoraio and its licensors. The Service is protected by copyright, trademark, and other laws of both your jurisdiction and others.

The Filoraio trademarks and trade dress may not be used in connection with any product or service without prior written consent.

Several tools depend on open-source libraries licensed under permissive terms (MIT, Apache 2.0, and similar). We comply with each library’s attribution requirements. Source attributions are available on request via the contact page.

7. Third-party services

The Service may use third-party services for hosting (e.g. Vercel), analytics (e.g. Google Analytics), and advertising (e.g. Google AdSense). These services have their own terms and privacy policies; your use of the Service is also subject to those where relevant.

8. No warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

Filoraiodoes not warrant that the Service will be uninterrupted, error-free, secure, free of viruses, or that defects will be corrected. We do not warrant that the results of using the Service will meet your requirements or that outputs (converted, compressed, signed, OCR’d, etc.) will be of any particular quality, fitness for purpose, or fidelity to source.

Each tool’s page documents its specific limitations honestly. Read those before relying on the output for high-stakes work (legal filings, contracts, medical records, financial reporting, etc.).

To the maximum extent permitted by law, Filoraio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FILORAIO OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • your access to or use of or inability to access or use the Service
  • any conduct or content of any third party on the Service
  • any content obtained from the Service
  • unauthorised access, use, or alteration of your transmissions or content

Our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you have paid us in the twelve months preceding the claim, or (b) US$50.

Some jurisdictions don’t allow the exclusion of certain warranties or limitation of liability for consequential damages — in those jurisdictions, the limitations above apply to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Filoraioand its licensees and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason — including breach of these Terms.

Because the Service has no accounts, “termination” in practice means we may block your IP or geography from accessing the site. We use this power only when necessary to protect the Service or other users.

All provisions of the Terms which by their nature should survive termination shall survive — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to these terms

We reserve the right to modify these Terms at any time. If a revision is material, we’ll provide notice on the homepage and update the “Last updated” date at the top of this page. What constitutes a material change is at our reasonable discretion.

Continued use after a change becomes effective constitutes acceptance of the revised Terms. If you don’t agree, stop using the Service.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved by negotiation shall be brought exclusively in the courts of [Your Jurisdiction], and you consent to the personal jurisdiction of those courts.

Note for Filoraiomaintainers: replace “[Your Jurisdiction]” with the actual jurisdiction where the operating entity is registered before launch.
